Terms of Service

1. Relationship and Platform Role

Platform Function: Working Tonight operates an online platform to intermediate and match independent transportation service providers ("Service Providers") with potential clients ("Customers").

Agency: By accessing the platform, you appoint Working Tonight as your agent to facilitate the sale of Ride-Hailing Services to Customers.

Discretionary Use: These terms do not oblige any person to access the platform, review opportunities, or fulfill services; you remain free to provide services independently. If you access the platform on behalf of another entity, that entity is the Service Provider, and your engagement is as their "Appointed Driver" on terms agreed between you.

2. Platform Terms & Updates

Effective Date: These terms take effect from May 22, 2026, or your registration date, whichever is later.

General Changes: Working Tonight may change these terms with at least seven (7) days' notice.

Immediate Changes: Changes may occur immediately without notice for reasons including user consent, aesthetic/functional updates, temporary testing features, compliance with law, or urgent security/safety precautions.

"As Is" Basis: The platform is provided on an "as is" and "as available" basis without guarantees regarding availability or function.

3. Access & Eligibility

Grant of Access: You are granted a non-exclusive, revocable, royalty-free right to use the platform solely for reviewing and providing Ride-Hailing Services.

Driver Eligibility: A Driver's right to access the platform is contingent on being lawfully permitted to provide services, providing verification documentation, submitting a current photographic identity, maintaining credentials, meeting Category requirements, and maintaining an Account Balance above the required threshold for cash-paid services.

Accuracy: You are responsible for ensuring all provided information (name, contact details, identification, tax status) is accurate and updated.

4. Ride-Hailing Services

• Agreements: A binding agreement for services is formed when a Driver indicates their intention to fulfill a request via the Driver App.
• Fares: Estimated by Working Tonight based on route, time, Category, and marketplace demand.
• Commission: You must pay a Commission to Working Tonight on all amounts payable to you, including cash payments (excluding Commission-Free items).
• Fees: You may be eligible for a Cancellation Fee or a Cleaning Fee (up to N 5,000) under specific conditions and provided you submit the required evidence.
• Cash Payments: You are solely responsible for collecting cash payments from Customers, as Working Tonight is not obliged to recover them.

5. Delivery Services

Opt-In: Drivers must expressly opt-in to fulfill Delivery Services. Transportation of the following is strictly prohibited:

• Items over 15kg or valued over N 50,000.
• Cash, credit cards, securities, or gift vouchers.
• Firearms, ammunition, melee weapons, or items designed for attack/defense.
• Hazardous materials (flammable, radioactive, poisonous, etc.).
• Food, drink, drugs, medicines, or medical equipment.
• Animals, human beings, or any living/dead creatures and their parts.
• Illegal, stolen, or unlawful goods, or items requiring special licenses.

6. Appointed Drivers

You are fully responsible for the acts and omissions of your Appointed Drivers as if they were your own. You must document engagement terms, pay their remuneration, ensure compliance with these Platform Terms, and provide documentation to verify that your Appointed Drivers are legally permitted to fulfill services.

7. Payments & Financials

Calculations: Your Account Balance is the total of collected payments plus promotions, minus commissions and other amounts owed to Working Tonight.

Thresholds: If your balance is below the platform threshold, it is retained until the threshold is exceeded.

Risk: You bear the financial risk for services provided; Working Tonight is not liable for third-party payment failures.

Unclaimed Funds: If payment details are incorrect, funds are held for a maximum of 180 days before the claim expires.

8. Liability & Termination

Indemnity: You agree to indemnify Working Tonight against losses, liabilities, and costs resulting from your use of the platform, including breaches of these terms or actions of Appointed Drivers.

Liability Cap: Working Tonight’s aggregate liability is capped at N 700,000.

Termination: You may terminate at any time by written notice. Working Tonight may terminate with 30 days' notice, or immediately for material/repeated breaches or legal/regulatory requirements.

Governing Law: These terms are governed by the laws of Nigeria, with exclusive jurisdiction in Nigerian courts.
